Terms

RelaySwitch is run by Uplink Switch LLC, a Wyoming limited liability company. It is an API service: it accepts requests at https://app.relayswitch.io/v1 with your key, applies the limits set on that key, forwards the request to the model, returns the response and records what happened. Using the service, the site or the account console means agreeing to these terms, the acceptable use policy and the privacy notice, which together are the whole agreement between you and Uplink Switch LLC.

• You must be 18 or older and able to enter a binding contract where you live.
• If you accept these terms for a company or other organization, you confirm you have authority to bind it, and “you” means that organization.
• You may not use the service if you are on a U.S. sanctions list or in a country under comprehensive U.S. sanctions, or to send anything that U.S. export law forbids.

• You are responsible for every request made with your keys. Keep them out of client-side code and shared repositories.
• A key is shown once when it is created. A revoked key stops working at once.

Every request must follow the acceptable use policy. If you let others use the service through your keys or your app, you are responsible for what they send and for holding them to that policy.

• Responses are generated by third-party AI models that Uplink Switch LLC does not train, control or review. Output can be wrong, incomplete, offensive or similar to someone else’s work.
• Output is not legal, medical, financial or other professional advice. You decide whether output is fit for your purpose, and you are responsible for what you do with it.
• Between you and Uplink Switch LLC, you keep whatever rights you have in your inputs and in the output, and you are responsible for both.
• The models and the systems that run them may change, slow down or stop without notice. Uplink Switch LLC is not responsible for their acts or omissions.

• The balance is prepaid, in USD, and topped up with USDT, USDC, Alipay, WeChat Pay. Top-ups are not refundable. Crypto payments are final once confirmed on their network.
• Credit has no expiry date and is not removed for age or inactivity.
• Each request settles against the balance at the price shown for its model at the time of the request. A request that fails before reaching the model, or that the model does not answer, is not charged.
• A crypto payment sent on the wrong network, to the wrong address or in the wrong asset may be unrecoverable; follow the checkout’s instructions exactly.

Every key carries a request-per-minute limit. Uplink Switch LLC may refuse a request, or suspend or revoke any key or account, at any time and without notice, if it believes the account breaks these terms, the acceptable use policy, a model developer’s usage policies or the law, or puts the service or others at risk. The unused balance of an account closed for a breach is not refunded.

The service, the site, the models and all output are provided “as is” and “as available”, with all faults and without warranty of any kind. To the fullest extent the law allows, Uplink Switch LLC disclaims all warranties, express, implied or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy and quiet enjoyment.

Uplink Switch LLC does not promise that the service will be uninterrupted, secure or error-free, that any model stays available, or that output will be accurate or lawful. There is no service level agreement.

To the fullest extent the law allows, Uplink Switch LLC is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business, even if told they were possible.

Uplink Switch LLC’s total liability for all claims about the service is limited to the greater of the unused balance on your account when the first claim arose and US$50.

These limits apply to every theory of liability, including contract, tort, negligence and strict liability, and even if a remedy fails of its essential purpose. Some places do not allow some of these limits; there they apply as far as the law permits.

These terms are between you and Uplink Switch LLC only. Its members, managers, employees and contractors are not parties to them and have no personal liability to you for the service. Any claim must be brought against Uplink Switch LLC alone.

You will defend, indemnify and hold harmless Uplink Switch LLC and its members, managers, employees and contractors against any claim, loss, liability, fine or cost, including reasonable lawyers’ fees, that arises from your use of the service or your keys, your inputs or what you do with output, your breach of these terms or the acceptable use policy, or your breach of any law or third-party right.

• Wyoming law governs these terms, without regard to its conflict of law rules.
• Before filing any claim, email hello@relayswitch.io with a description of it and give Uplink Switch LLC 60 days to resolve it informally.
• Any dispute not resolved that way will be settled by binding arbitration on an individual basis, administered by the American Arbitration Association under its applicable rules, held remotely or in Wyoming. Either side may instead bring an individual claim in small claims court.
• You and Uplink Switch LLC each waive any right to a jury trial and to bring or take part in a class, collective or representative action.
• Any claim must be brought within one year after it arose, or it is barred.
• Anything that is not arbitrated belongs in the state or federal courts in Wyoming, and both sides consent to their jurisdiction.

Uplink Switch LLC may change these terms; the date at the top changes when it does, and continuing to use the service after that date means accepting the new terms. Questions go to hello@relayswitch.io.
